General Counsel

About the Role

ClearyX is an independently operated subsidiary of Cleary Gottlieb, a preeminent global law firm with 16 offices on four continents. ClearyX is not a law firm, but we are focused on building alternative models of legal services through innovative combinations of people, technology and process discipline. We are a team of forward-thinking subject matter experts, project managers and technologists working to innovate and improve how legal services are delivered and experienced.

ClearyX is seeking to hire an experienced and commercially minded General Counsel to serve as the company’s senior legal officer and a trusted adviser to the leadership team. This role is both strategic and hands-on: you will be the sole senior legal resource in the organization, responsible for managing all legal affairs, mitigating risk, and enabling the business to scale effectively and compliantly across global markets. The primary focus initially will be contract management and negotiation, as ClearyX scales its proprietary software solutions.

Responsibilities

  • Contract Management and Negotiation
    • Review, draft, and negotiate a wide range of commercial agreements, including SaaS/software license agreements, master services agreements, statements of work, NDAs, and more.
    • Negotiate contracts with clients, vendors, independent contractors, and other third parties, balancing commercial objectives with appropriate risk allocation.
    • Draft, maintain, and continuously improve the company’s library of template contracts and standard terms, ensuring they remain current with evolving business needs and legal requirements.
    • Establish and refine contracting processes and playbooks to enable efficient, scalable contract workflows across the organization.

    Compliance, Governance, and Risk Management

    • Develop, implement, and maintain company-wide policies and procedures across key areas including regulatory compliance, corporate governance, risk management, data privacy (e.g., GDPR, CCPA/CPRA, and other applicable privacy regimes), anti-corruption, and information security in conjunction with other members of the leadership team.
    • Monitor and ensure ongoing compliance with applicable laws, regulations, and industry standards across all jurisdictions in which the company operates.
    • Design and deliver compliance training programs for employees and leadership.
    • Serve as the company’s Data Protection Officer and oversee data privacy and protection obligations as required.
    • Manage and track policy adherence, conduct periodic compliance audits, and report on compliance posture to leadership as appropriate.

    Human Resources and Employment Law

    • Advise on employment and labor law matters across multiple jurisdictions, including hiring, termination, employee classification, compensation and benefits, workplace policies, and remote work arrangements.
    • Retain and consult with external employment counsel whenever required/appropriate.
    • Support the drafting of HR-related policies, including employee handbooks, codes of conduct, anti-harassment policies, and whistleblower procedures.
    • Support the HR function on sensitive matters such as investigations, disciplinary actions, and accommodations.

    Intellectual Property Protection

    • Develop and execute a comprehensive intellectual property strategy to protect the company’s software, brand, proprietary content, and other intangible assets.
    • Oversee trademark, copyright, and patent filings and portfolio management.
    • Draft and enforce IP assignment and invention assignment agreements for employees and contractors.
    • Retain and consult with external counsel where required/appropriate.
    • Monitor for potential IP infringement and manage enforcement actions as necessary.
    • Advise product and engineering teams on open-source software licensing, third-party IP usage, and related risks.

    Corporate and Strategic Advisory

    • Serve as a strategic adviser to the CEO and senior leadership team on legal, regulatory, and business matters.
    • Support corporate governance activities, including advising on board meeting preparation, resolutions, minute-taking, and maintaining corporate records as and when required.
    • Advise on corporate structure, entity management, and intercompany arrangements across the company’s global operations.
    • Provide legal support for strategic initiatives, including fundraising, potential M&A activity, joint ventures, and new market entry.

    Litigation and Dispute Resolution

    • Manage and oversee any pre-litigation disputes, litigation, arbitration, or regulatory proceedings.
    • Select, instruct, and manage outside counsel where specialized expertise is required, ensuring cost-effective and high-quality legal support.
    • Develop strategies to minimize litigation exposure and resolve disputes efficiently.

    Insurance and Risk Mitigation

    • Evaluate and manage the company’s insurance program, including professional liability, cyber liability, D&O, and general commercial insurance coverage.
    • Assess emerging legal and business risks and develop appropriate mitigation strategies.

    External Counsel and Budget Management

    • Manage relationships with external legal advisers across jurisdictions.
    • Develop and manage the legal department budget, ensuring cost-effective allocation of resources.
    • Determine when external counsel is appropriate or required, and continually evaluate opportunities to reduce external legal counsel spend.

Qualifications

  • Required
    • Law degree from a US or Canadian law school, or equivalent law degree from an accredited institution in a common law jurisdiction.
    • Active membership in good standing with at least one US state bar or Canadian law society.
    • Minimum of 5 years of legal experience, preferably with a portion spent in-house at a technology, SaaS, or professional services company.
    • Demonstrated experience reviewing, drafting, and negotiating complex commercial contracts, particularly SaaS and technology-related agreements.
    • Working knowledge of data privacy and protection laws (GDPR, CCPA/CPRA, and similar frameworks).
    • Some familiarity with intellectual property law, including trademarks, copyrights, and software licensing.
    • Proven ability to work independently and manage a broad portfolio of legal matters with minimal supervision.
    • Exceptional judgement, communication skills, and business acumen.

    Preferred

    • Experience supporting a company or companies operating in the legal technology or legal services sector.
    • Prior experience as sole or first General Counsel at a growth-stage company.
    • Experience developing and implementing corporate policies and compliance programs.
    • Cross-border legal experience, particularly across North American, European, and/or other international jurisdictions.
    • Familiarity with corporate governance best practices for privately held companies.
    • Experience advising on M&A transactions, fundraising, or other corporate development activities.
